These Enterprise Terms of Service (“Terms”) govern the provision of Curiosity Cloud Workspace and Enterprise (including on-premises) deployments to business customers.
These Terms form a binding agreement between the customer identified in an Order Form (“Customer”) and:

These Terms apply together with any applicable Order Form and any referenced documents, unless expressly agreed otherwise in writing. In the event of a conflict, the Order Form prevails.
Scope
These Terms apply to:
Cloud Workspace deployments hosted by Curiosity
Enterprise deployments hosted on-premises or in a customer-controlled environment
These Services are offered exclusively to businesses. Consumer use is excluded.
Order Forms
Services, pricing, user limits, term, and any additional terms are defined in an Order Form executed by the parties.
An Order Form may reference additional documents such as a Data Processing Addendum (DPA), service descriptions, or security documentation.
License Grant
Subject to these Terms and the applicable Order Form, Curiosity grants Customer a non-exclusive, non-transferable right to access and use the Services for its internal business purposes during the agreed term.
The software and services are licensed, not sold. All intellectual property rights remain with Curiosity.
Deployment Models
Cloud Workspace is hosted by Curiosity or its infrastructure providers.
Enterprise deployments may be hosted on-premises or in infrastructure controlled by the Customer. In such cases, Customer is responsible for its environment, including security, backups, system configuration, and compliance, unless otherwise agreed in writing.
Implementation and Professional Services
Curiosity may provide onboarding, configuration, integration, training, support, customization, or other professional services as agreed in an Order Form.
Unless expressly agreed otherwise in writing, such services are provided as services (Dienstleistungen) and not as work contracts (Werkverträge). Curiosity does not owe a specific economic or technical success beyond providing the agreed services with reasonable care and skill.
Scope, timelines, deliverables, and fees for professional services are defined in the applicable Order Form.
All professional services are subject to these Terms, including the liability limitations set out herein.
Customer Data
Customer retains all rights to data uploaded, connected, or processed within the Services (“Customer Data”).
Curiosity processes Customer Data solely to provide the agreed Services.
AI features may rely on third-party AI model providers when activated by Customer or workspace administrators. Curiosity does not use Customer Data to train artificial intelligence models.
Confidentiality
Each party may receive confidential information from the other party in connection with the Services.
Confidential information shall be used solely for the purpose of performing the agreement and shall not be disclosed to third parties without prior written consent, except where required by law.
The parties may enter into separate non-disclosure agreements (NDAs). In the event of a conflict between such NDA and these Terms, the NDA prevails with respect to confidentiality.
Confidentiality obligations survive termination of the agreement.
Security
Curiosity implements appropriate technical and organizational measures to protect Customer Data against unauthorized access, loss, or misuse.
An overview of security measures and practices is available in the Curiosity Trust Center and related security documentation.
For Cloud deployments, Curiosity is responsible for the security of the hosted environment. For on-premises deployments, security of the infrastructure remains the responsibility of the Customer unless otherwise agreed.
Fees and Payment
Customer shall pay the fees specified in the applicable Order Form.
Unless otherwise agreed:
Fees are billed in advance
Payments are due within the period stated on the invoice
Fees are exclusive of applicable taxes
Failure to pay may result in suspension of Services after prior notice.
Term and Termination
The term of the Services is defined in the applicable Order Form.
Either party may terminate for material breach if such breach is not remedied within a reasonable cure period after written notice.
Upon termination, Customer’s right to use the Services ends. Customer Data will be returned or deleted in accordance with the DPA and the Order Form.
Warranties
Curiosity warrants that the Services will be provided with reasonable care and skill.
Unless explicitly agreed in an Order Form, Curiosity does not provide a service level agreement (SLA) or guarantee specific availability levels.
Except as expressly stated, the Services are provided without specific guarantees of uninterrupted availability or suitability for a particular purpose.
Mandatory statutory rights remain unaffected.
Liability
Curiosity is liable without limitation for:
Intentional misconduct
Gross negligence
Injury to life, body, or health
Liability under mandatory statutory law
For simple negligence, Curiosity is liable only for breaches of essential contractual obligations and limited to foreseeable damages typical for this type of agreement.
Total liability under these Terms is limited to the fees paid by Customer in the twelve (12) months preceding the event giving rise to the claim.
Data Processing
If and to the extent Curiosity processes personal data on behalf of Customer, such processing is governed by the Data Processing Addendum (DPA) between the parties.
Marketing Reference
Unless expressly agreed otherwise in writing, Curiosity may use Customer’s name and logo in customer lists and marketing materials to identify Customer as a user of the Services.
Governing Law and Jurisdiction
These Terms are governed by the laws of Germany. Exclusive place of jurisdiction for merchants and legal entities under public law is Munich, Germany.
Severability
If any provision of these Terms is invalid or unenforceable, the remaining provisions remain unaffected. The invalid provision shall be replaced by a valid provision that most closely reflects the economic intent of the invalid provision.
Changes to These Terms
Curiosity may update these Terms from time to time. Updated versions apply to new Order Forms and to existing agreements where legally permissible
